Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Sysist Ltd. ("Sysist", "we", "our", or "us"). By accessing or using the Sysist platform, website, applications, or any related services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree, you must not use our Services.

If you are using the Services on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

2. Description of Services

Sysist provides an AI-powered voice concierge platform for the hospitality industry, including but not limited to:

  • Voice-based AI guest assistance via tablet devices placed in properties.
  • A management dashboard for property owners and their teams.
  • Restaurant reservation management via WhatsApp integrations.
  • Maintenance ticket creation and escalation systems.
  • Push notifications and real-time alerts.
  • Analytics and reporting tools.

3. Account Registration and Security

  • You must provide accurate, complete, and current information when creating an account.
  • You are solely responsible for maintaining the confidentiality of your account credentials, including passwords and PIN codes.
  • You are responsible for all activities that occur under your account, whether or not authorized by you.
  • You must notify us immediately at security@sysist.io if you suspect unauthorized access to your account.
  • We reserve the right to suspend or terminate accounts that are inactive for an extended period or that violate these Terms.

4. User Responsibilities

As a user of our Services, you agree to:

  • Use the Services only for lawful purposes and in accordance with these Terms.
  • Ensure that your use of the Services complies with all applicable local, national, and international laws and regulations.
  • Obtain any necessary consents from guests before using voice recording or AI interaction features in your properties.
  • Provide clear notice to guests that an AI voice assistant is present in the property.
  • Not use the Services to transmit harmful, offensive, or illegal content.
  • Not attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of any part of the Services.
  • Not interfere with or disrupt the integrity or performance of the Services.
  • Not attempt to gain unauthorized access to any part of the Services or related systems.

5. Property Owner Obligations

If you are a property owner using our Services, you additionally agree to:

  • Inform guests of the AI voice assistant's presence and capabilities before or during check-in.
  • Ensure compliance with local hospitality and privacy regulations in the jurisdiction where your property is located.
  • Be responsible for the accuracy of property information, house rules, and recommendations provided to the AI system.
  • Manage your team members' access and permissions responsibly.
  • Respond to guest escalations and maintenance requests in a timely manner.

6. Intellectual Property

All content, features, functionality, software, designs, text, graphics, and other materials comprising the Services are owned by or licensed to Sysist and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you provide to the Services (e.g., property descriptions, images). By providing content, you grant Sysist a non-exclusive, worldwide, royalty-free license to use, display, and process such content solely for the purpose of providing the Services.

7. AI-Generated Content Disclaimer

Our Services use artificial intelligence to generate responses and recommendations for guests. While we strive for accuracy:

  • AI-generated responses may contain errors or inaccuracies.
  • Sysist does not guarantee the accuracy, completeness, or reliability of any AI-generated content.
  • Property owners are responsible for reviewing and configuring the information available to the AI system.
  • Reservation confirmations are subject to affiliate restaurant availability and are not guaranteed by Sysist.

8. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted access to the Services. We reserve the right to:

  • Modify, suspend, or discontinue any part of the Services at any time, with or without notice.
  • Perform maintenance that may temporarily affect availability.
  • Impose usage limits or rate limits to ensure fair use and system stability.

9. Fees and Payment

Certain features of the Services may be subject to fees. If applicable:

  • Fees will be clearly communicated before you incur any charges.
  • All fees are non-refundable unless otherwise stated or required by law.
  • We reserve the right to change pricing with 30 days' notice.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Sysist shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • Our total liability to you for any claims arising from or related to the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
  • Sysist is not liable for any actions, omissions, or responses of the AI system, or for any decisions made based on AI-generated content.

11. Indemnification

You agree to indemnify and hold harmless Sysist, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) any content you provide to the Services.

12. Termination

Either party may terminate the use of Services:

  • You may stop using the Services and delete your account at any time.
  • We may suspend or terminate your access immediately if you violate these Terms.
  • We may terminate your account with 30 days' notice for any other reason.
  • Upon termination, your right to use the Services ceases immediately. We may retain certain data as required by law or for legitimate business purposes.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to conflict of law provisions. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Tel Aviv-Yafo, Israel.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Sysist regarding the Services and supersede all prior agreements and understandings.

16. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via the email associated with your account or through a notice on our website. Continued use of the Services after changes constitutes acceptance of the revised Terms.
